8. INDEMNIFICATION
To the maximum extent allowed by law, you agree to defend, indemnify, and hold Skeltec harmless from any claims, liabilities, damages, or costs arising from: (i) your breach of these Terms of Use, (ii) your use of the Website and its Content, or (iii) your violation of any law or regulation or third party rights such as intellectual property rights or confidentiality rights, other than as expressly permitted hereunder.
Skeltec reserves the right, at its sole discretion and expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification. You agree to cooperate fully and reasonably in the defense of any such claim.
9. GOVERNING LAW
This Agreement and all related policies available on the Website are governed and interpreted in accordance with the laws of the Province of Quebec. Any disputes, claims, or legal actions arising from or relating to these Terms of Use shall be resolved in Quebec, Canada. You agree to submit to the exclusive jurisdiction of the courts of the Province of Quebec and the federal courts located in Quebec.
